  • Advising a solicitors’ firm about the appropriate content for a modern LLP agreement (including changes made necessary by the ECCTA 2023) and drafting accordingly.
  • Advising both a solicitor’s firm and a barrister in a professional negligence dispute relating to the intersection between partnership law, the Legal Services Act 2007 and illegality.
  • Acting for a compulsorily retired partner in a GP partnership who disputed the validity of their retirement.
  • Amending a solicitors LLP agreement as it changed its structure to become an ABS.
  • Acting for the managing partner of an investment management LLP in a dispute between the members on multiple issues including changes to the remuneration structure.

Naomi is regularly instructed by the Official Solicitor as well as by solicitors in private practice on Court of Protection property and affairs matters. She has a niche practice advising in relation to estates which contain business interests.

  • Acting in a statutory will application, brought alongside a multi-issue personal welfare application, both of which contain serious allegations of abuse of JAD.
  • Advising in an application to authorise a loan made using P’s funds by his deputy to his own company.
  • Acting in an application to authorise the sale of P’s share of a property to the co-owner and a dispute as to the appropriate trustees of the property.
  • Advising in a gifting application in relation to a substantial and complex estate containing property, business interests and a trust, where the gifts were to the donee of an EPA and his family, largely for the purposes of tax planning.
  • Acting in an application for a statutory will and to sever joint tenancies on P’s bank accounts.

Naomi has a depth of experience in contentious probate and family provision claims, dealing regularly with disputes about administration of wills and trusts (including removal of trustees / personal representatives and breaches of duty). She also deals with associated professional negligence issues. Naomi has particular expertise in dealing with those estates or trusts which contain an interest in a partnership or assets used by a partnership.

  • Acting for the Public Trustee in a dispute relating to an insolvent estate where she had been appointed without her consent and drafting a letter to all County Courts on her behalf, setting out guidance for their judges.
  • Advising executors in relation to the construction and effect of mirror wills.
  • Acting for a life partner in a 1975 Act claim / trust dispute relating to a complex estate containing multiple properties (including the life partner’s home) which had, post-death, been substantially leveraged by the executors.
  • Advising professional executors as to the effect of a settlement agreement with beneficiaries relating to a multi-jurisdictional estate and as to the appropriate approach to administering Italian property and recovering stolen assets.

Many of the matters in which Naomi acts are resolved by way of mediation or other forms of ADR and her partnership / LLP disputes are often arbitrated. She has significant experience of acting in and advising in respect of arbitral proceedings, as well as associated court hearings.
